What Actually Transfers When You Buy an RCFE? | California RCFE Buyer Guide

Episode published October 27, 2026

An RCFE purchase is not a single asset changing hands. The operating business, the property or lease, equipment, business identity, contracts, and goodwill each raise separate questions about what transfers and what needs its own approval.

Separate the business from the premises

An agreement to buy an operating care business does not automatically convey the building. Identify whether the buyer is purchasing real estate, receiving an assignment of an existing lease, or arranging a new lease with the owner or a third-party landlord. Confirm the required consent, term, renewals, rent, and responsibilities with qualified professionals.

List the people, property, and rights clearly

Inventory equipment and other physical assets, then document which items are included, excluded, leased, or personally owned. Separately address the business name, web domains, phone numbers, records, vendor agreements, referral relationships, and any rights that require consent. The RCFE license is not an ordinary asset that a seller simply hands over; buyers must confirm the applicable licensing process and approval requirements.

Plan for continuity, not assumptions

Residents and employees are people, not guaranteed assets of a transaction. Buyers should plan for appropriate communication and staffing, and sellers should consider how to protect residents, families, employees, and sensitive information through a transition. Review contracts and goodwill carefully, including how the facility’s reputation, systems, and referral relationships can continue beyond the current owner.

Questions to bring to your next conversation

  • What is included in the operating-business purchase, and what is excluded?
  • Is the property purchased, leased, or subject to a new agreement?
  • Which assets, contracts, branding, or approvals require separate consent or documentation?
  • What licensing and transition steps must be completed before the buyer operates?
